Introduction
By reading these terms of use you will establish what to expect from us “Centre of Excellence community of practice for IAU programme “as you use this service and what we expect from you.. It is important for the user to read & review these Terms of use carefully prior to use of this Service. If you do not agree with these Terms of Use, please do not use the Service, we respect your opinion and decision.

By reading the definitions you will to know what we mean when we use each of the term below
Community of practice Platform: Online platform named IAU Community of Practice, provided by Centre of Excellence.
Data Protection Law: means the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (General Data Protection Regulation)
User Account: means a dedicated online account opened by yourself or any other approved member of the community of practice
Identifiers: means login names, email and password or other approved social network login facility used to create the User Account.
Party or Parties: means the User and Center of Excellence designated either individually or collectively.
Service: means the Community of Practice Platform and all the functionalities provided thereto and described in the Terms and Conditions hereunder.
Service Content: mean any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, works of authorship, applications, links, and other content or materials made available during the community of Practice Service.
User or Users: means any person authorized by Center of Excellence to access and use the Service after creation of a User Account.
User Content: any content created, posted, or shared by the User, on or through the Service including any information, data, photos and other content relating to the User.
Intellectual property rights (IP rights) Rights over the creations of a person's mind, such as inventions (patent rights); literary and artistic works (copyright); designs (design rights); and symbols, names and images usesd in commerce (trademarks). IP rights may belong to you, another individual or an organisation.

The Terms of Service will come into effect when you first access community of practice Service up to the entire duration of use.
The community of practice Service enables you and other members of the community to connect , share resources, learn, and network with each other.

These Terms of Service govern the use of each component of the Service.
To access the community of practice Service you need to create your own User Account.
The Service is available on the community of practice Platform via link on changeschool.hivebrite.com
Enter personal identification data through the online registration form accessible at the following address: changeschool.hivebrite.com
you will be expected to log-in using account credentials used to create the User Account(user name and password). Identifiers are personal and confidential. The responsibility for keeping your user account credential and identifiers rest with you. Do not disclose to any third party in any form and for any reason whatsoever.
The User’s login can only be changed at the request of the User or at the initiative of Centre of Excellence. The User’s password is modifiable by the User through the User’s Account. If the User forgets the password, the User can generate a new one by clicking on the link “Reset my password” available
The User is solely responsible for the activity that occurs on his/her User Account. In case of reason to believe that a person is fraudulently using identification elements of the User Account, the user must immediately inform Centre of Excellence by e-mail at the following address [email protected]
Users may not use another’s account without permission. A User Account may not be shared, transferred, or sold to other parties, nor are they to be used by or made available to any person or entity except the registered user.
The Community of practice Service is available for free of charge (excluding any connection costs, whose price depends on your electronic communication service provider).
The Service and the Service Content including database produced by the Centre of Excellence belong and shall remain the property of Centre of Excellence or its licensors as appropriate, and is protected by copyright, patent when applicable, trade secret and other intellectual property laws.
The User shall not acquire any of such rights title and interest (including, without limitation, all intellectual property rights such as copies, modifications, extensions and derivative works thereof). All rights not expressly granted to Users are reserved and retained.
Any reproduction, representation, distribution, modification, adaptation or translation of these various Service Content, in whole or in part, in any form and current or future medium is strictly prohibited, except within the limit of the Terms of Service or with prior express authorization of Centre of Excellence. Any use of these Service Content not expressly authorized by Centre of Excellence shall constitute a violation of the Terms of Use and a violation of intellectual property rights.
Except as specifically permitted by these Terms of Use, User may not use or register any name, logo, brand or insignia of Centre of Excellence or any of its schools or subdivisions for any purpose except with Centre of Excellence prior written approval and in accordance with any restrictions required by Centre of Excellence. These are the property of Centre of Excellence or are subject to rights to use, duplicate or represent/communicate to the public that have been granted to such.
Centre of Excellence is the producer of databases on the Community of practice Platform and Centre of Excellence is the owner of any databases made available. The User shall not extract or reuse a substantial qualitative or quantitative portion of the databases, including for private purpose.
Centre of Excellence grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service for User’s personal, non-commercial purposes. User may use the Service and the Service Content only in the manner and for the purposes specified in these Terms of Use. Except as specifically permitted by these Terms of Use, User may not modify, transmit, produce, distribute, display, sell, license, broadcast, or otherwise make available in any form or by any means any part of the Service or the Service Content without the express written permission of Centre of Excellence.
In connection with the use of the Services and Service Content or User’s Content, the User is not authorized to, or cannot allow a third party to:
The User represents and warrants that she or he retains ownership of all of his intellectual property rights in the User Content or that this User Content is subject to a license granted to the User by a third party holding these rights, under conditions allowing the User to freely use and/or transfer these elements for the purpose of using the Service, under the conditions described in the Terms and Conditions. Centre of Excellence does not claim ownership of the User Content.
The User holds Centre of Excellence harmless from all claims or actions brought by third parties on the grounds of an infringement of their rights, including, without limitation, publicity rights, copyrights, trademark and/or other intellectual property rights or privacy rights in the User Content.
By using the Service, the User represents and warrants that she or he has the legal right and capacity to enter into these Terms of Use in the User’s jurisdiction.
User warrants to be at least 18 years of age or older or an emancipated minor, or possess legal parental or guardian consent, and is fully competent, to use the Service and to enter into and comply with these Terms of Use. If the User is under the age of 18 years, the User must obtain verifiable consent from a parent or legal guardian. The parent or legal guardian shall be able to provide consent to her or his child’s use of the Service and agree to be bound by these Terms of Use in respect to her or his child’s use of the Service.
Persons aged less than 18 years are not authorized to access the Service.
The User is committed to use the Services in accordance with IAU Service Charter made available to the User in the community of practice platform
In order to ensure the Community Platform provides the best experience possible for everyone, if you the User sees any inappropriate content, report using “Report as offensive” feature found under each post.
Centre of Excellence has no general obligation to monitor User Content nor to investigate whether facts or circumstances are revealing illicit activities. Community platform has a reporting tool allowing any User to notify illegal, abusive and harmful content.
The knowledge of such content is deemed effective when the hosting provider is notified of following:
If a User Content is reported, Centre of Excellence reserves the right to withdraw the reported content and/or suspend or terminate the User Account of the User having originally published the reported content in the conditions set forth in Articl11.2.
At any time, the User may delete its User Account without notice through the of Community of Practice Platform or by contacting Centre of Excellence at the address or email address mentioned in Article 2. Deletion is effective immediately
Centre of Excellence retains the right to suspend User’s access to the Service to make all investigations necessary following a report made pursuant to Article 10 or in case of presumed breach of Terms of Use which may be remediated. The User whose User Account is suspended will be informed by Centre of Excellence of such a decision by email. The User has the responsibility to send an email to Centre of Excellence to obtain additional information on the reasons for the suspension as well as to provide explanations and/or any element in order to demonstrate that the breach has been remediated. If the violation of Terms of Use is not remedied within one (1) month from suspension notification, Centre of Excellence reserves the right to terminate the applicable User’s Account and right to use the Service, in addition to any other rights or remedies available.
Centre of Excellence will delete inactive accounts after a continuous period of two (2) months if the User has not used the Community of practice Platform. The User will be informed by email of the deletion of his or her account subject to prior notice of two (2) weeks allowing the User to object such deletion.
By using the Service, User’s personal data, in the meaning of Data Protection Law, may be collected and processed by Centre of Excellence, in compliance with the Center of Excellence Privacy Policy and the Cookie Policy, (collectively, “Privacy Policies”).
Centre of Excellence will treat User Content as confidential information in accordance with these Terms of Use and the Privacy Policies.
Centre of Excellence is not responsible for the User’s device compatibility nor if the User is unable to connect due to any technical problem related to the Internet network or a failure in the User's computer facilities and equipment.
Centre of Excellence shall not be responsible for User’s System nor any problems arising from or related to User’s System or caused by the Internet. User is responsible for the security of the User System and the security of its access to and connection with the Services.
In so far as it has not been reported in the conditions of Article 10, any document, information, data, or elements available via the Service, including User Content (“Information”) is provided without any guarantees, notably that the Information is comprehensive or accurate.
The User is solely responsible for the use of the Information and bears all the risks arising from your reliance on this Information. The Information is provided on the condition that the User can determine its interest for a specific purpose before use. Under no circumstances Centre of Excellence accepts liability for injury arising from reliance on the said Information, its use or use of a product to which it refers.
The User is solely responsible for all User Content posted, and assumes all risks relating to its use by others and others’ reliance on its accuracy. The User acknowledges that, following the publication of the any content, its information will become accessible to all the Users on the Community of practice Platform and that as such, same information will be published, modified, translated, reproduced in any form and accessible, saved and reproduced by other Users and Centre of Excellence. Centre of Excellence will have no responsibility or liability in connection with the User Content.
Centre of Excellence expressly excludes any liability for events of any kind that may occur during any meeting organized between Users within the use of the Services.
The Community of practice Platform may provide links to Platforms operated by third parties or other internet sources/networks, as well as data/information coming from third-party servers. Centre of Excellence does not endorse or accept responsibility for the content or the use of third-party Platforms and cannot be held liable for any damage following or in relation with use or the fact of having trusted the content/data/results available on such third-party servers, external sources or internet sites.
If a User uses third-party sites or content from third-party servers, User does so solely at User’s own risk. Links do not imply that the Company is affiliated or associated with any linked site.

Governing Law and jurisdiction. These Terms of Use, will be governed by the laws United Kingdom (UK) without regard to its conflicts of laws principles.
The User is informed, as consumer, of the possibility to use a conventional mediation procedure or any other alternative dispute resolution method.
Change of Terms of Use. These Terms of Use are subject to change from time to time. Any changes will be posted to this page. Use of this Service or any Service Content after entering into force the new version of the Terms of Use will constitute the agreement to the modified Terms of Use. If the User disagrees with such modification of the Terms of Use, the User may terminate the Service and delete User Account under the conditions set forth in Article 11.
Change of the Service. Centre of Excellence may further develop or modify the Service or the Service Content only to improve its quality. The User will be informed of such development/modification as soon as it is implemented.
Severability; Entire Agreement. Except in the case of invalidity of an essential clause, if any provision of these Terms of Use is held to be invalid or unenforceable, that provision, to the extent unenforceable, shall be struck, and shall not affect the validity or enforceability of the remaining provisions. These Terms of Use, including the Privacy Policies, set forth the entire understanding and agreement between the User and Centre of Excellence with respect to the subject matter hereof.
Convention of proof. Electronic documents exchanged by electronic means between the User and the Centre of Excellence shall be regarded as writings having the same probative force as writings on paper in the meaning of applicable law. They may constitute faithful and durable copies in accordance with applicable law, so that the User is invited to keep them.
Force majeure. In no case Centre of Excellence may be held liable for any breach of its contractual obligations resulting from a force majeure event as defined in applicable law and related jurisprudence.
Innovation for African Universities (IAU) Community of Practice
Sevrice Charter
The IAU programme is based on a new model, including a learning and collaboration platform, or community of practice, which brings together Universities in the UK and Sub-Saharan Africa (SSA) to engage, interact and learn from one another with the aim of developing mutually beneficial partnerships that strengthen the capacity and capability of Higher Education systems in both locations. Over a period of 15 months a total of 20 Network Partnerships (NPs), comprising at least 60 partner organisations (including Universities, enterprise support organisations and other key ecosystem players) will collaborate with the aim of exchanging best practice that supports increased functionality of universities.
The Centre of Excellence (CoE) comprises and is managed by City, University of London, ChangeSchool and the University of Nairobi in Kenya. The CoE will be responsible for facilitating international knowledge-sharing within the community of practice, providing capacity building and mentoring support to all community members and partner organisations.
The ‘excellence’ it contains comes from the combined knowledge and skills of everyone in the community of practice.
The community of practice has been set up to enable sharing of resources, collaboration and learning in order to meet the goals of this community
Strategic Alignment
Community of Practice provides a strong platform for engagement, networking and the development of international higher education partnerships.
Visibility
The programme provides additional visibility for the selected institutions and positions them for future collaboration opportunities and supports the strengthening of cross continental collaborations.
Contribute to entrepreneurship and innovation in Africa
Participating in this programme provides an opportunity to champion entrepreneurship and innovation within higher education and support its development across SSA.
Positioning
Partner Organisations will be able to position their respective brands as leaders within international and African higher education and develop relationships with critical stakeholders at both policy and practice level within the education sector across SSA and the UK
Data and Insights
Access to market data, insights and information through partnerships developed through the programme.
The purpose of CoP is to facilitate learning and sharing of knowledge among network partners. It is important for members to feel that they are in a safe space, surrounded by people with shared interests’ values and common purpose. As such, members are expected to read and adhere to the ground rules below;
This section describes rules for members of the community of practice who register ("Community") and upload material, post comments, or provide other content ("Member Content") on the platform. The CoE expects each community member to observe the following rules ("House Rules")
Come ready to share. We are all here to learn from each other and support entrepreneurs in our societies. The more we know, the more we can do.
Get involved. There will be networking groups on topics, on countries, on challenges, on whatever you want. There are hundreds of new, exciting and knowledgeable people here. Take full advantage :)
Put your best foot forward. We are using Hivebrite as a platform so you can be in touch easily. Write about yourself in your profile so others can find you, and go looking for your perfect new best friend :)
Enjoy yourself. We will be doing some hard work together in a good cause that we all believe in. Doing good work with good people - what could be better!
Help each other out. "You need some research on that? I have some right here.", You need to talk to someone about that? I know just the person..." Lend a helping hand where you can.
Be civil. The CoE encourages open and candid discussions and debates. However, all communications should be respectful. Differences of opinion are okay; personal attacks are not. Comments or content that are violent, threatening, abusive, sexually explicit, obscene, offensive, hateful, derogatory, defamatory, or are racially, ethnically, or otherwise objectionable content will be removed.
Stay on topic. The group encourages positive discussion with the assistance of the admins so as to ensure the discussion remains relevant. Comments, questions and contributions should be relevant to the topic being discussed.
No Advertising. This is not a place for unsolicited personal or commercial solicitation or advertising (e.g., “Win a free laptop”, etc.). Adverting/ selling of items, blogs, articles not related to the projects in the community will not be allowed. Please do not post advertisements as they will be deleted without notice.
Keep it clean. Don’t upload or post inappropriate content. If a user uploads inappropriate, pornographic or offensive, or otherwise objectionable content to the Sites, such user may be banned from the Community. Controversial topics will be followed through by admins so as to ensure the discussion is not watered down with insults or disrespect. In the event the discussion doesn’t go down well, Admins will intervene as required.
Fair use Observe copyright and trademark law. The posting of copyrighted videos, photos, articles or other material beyond what is protected as fair use is prohibited, and admins may remove such posts from the community walls. Do not pass off someone else’s trademark as your own.
Accuracy is important. Creating multiple accounts in the Community is discouraged. Please update your existing Society account here instead of creating a new account. To merge your duplicate accounts, please email [email protected] with any email addresses you may have used to create your accounts.
Respect privacy. Do not post personal or any other information that you do not want made public and respect the privacy of other members within the community.
It’s your content. The views and opinions expressed on individual profiles as well public discussion posts do not necessarily reflect the views and opinions of admins or the Center of Excellence (CoE). Please remember that any comments or content you share within the community are your sole responsibility.
No spam. No one likes seeing the same message posted to one or many articles, galleries or discussions.
Keep it legal. Participating in, suggesting, or encouraging any illegal activity is cause for immediate removal and termination of a member’s use of and registration in the Community.
Relevant imagery. Kindly post only photos directly related to the purpose of the community. Please do not share personal photos. These will be deleted without notice. All non project related posts will be deleted without notice. Repeat offenders will be removed and blocked from the community
Let us know. Our community team does monitor posts, but we may miss something. We encourage members to flag content which they feel violates any of the above Community Rules so we can review and take the appropriate action.

Except as may be expressly stated in this Agreement, nothing in this Agreement shall be construed as granting any Party any right, title, or interest in any other Party’s Background IP.
Each Party will contribute Background IP it owns or controls as it deems necessary to undertake the Project. All such Background IP will remain the sole property of that Party, but where free and able to do so, the other Parties shall be granted a non-exclusive, royalty-free licence to use the Background IP in performance of the Project.
All Foreground IP shall belong to the party creating that Foreground IP.
Where Foreground IP is created jointly by both parties, it shall be co-owned by them, in undivided shares equivalent to their respective contributions to the creation of that Foreground IP.
Where it is free to do so each party hereby grants to the other party a worldwide, non-exclusive, non-transferable, non-sub licensable, royalty-free licence to use the former party’s Foreground IP solely for:
The Collaborator hereby grants to the Funder an irrevocable, royalty-free, non-exclusive, worldwide right and licence to use any Foreground IP including but not limited to information, data, reports, documents, or other materials obtained, created or developed in the course of the Project for non-commercial purposes to publicise and report on the activities of the Funder in connection with the award of the grant and the delivery of the Project.
